These Terms and Conditions ("Terms") govern your access to and use of the CQZ POS platform. Please read them carefully before registering or continuing to use the service. By using the platform, you agree to these Terms, our Privacy Policy, and applicable Refund Policy.

1. Definitions
For the purposes of these Terms, the following definitions apply unless the context requires otherwise:
- "Platform" or "CQZ POS": the cloud business management system and its related interfaces and applications.
- "Service Provider": the entity that owns and operates the CQZ POS platform.
- "User" or "Customer": the individual or legal entity registered or authorized to use the platform.
- "Account": the user account linked to one or more business entities.
- "Business Data": all data entered by the user or generated by the system on their behalf.
2. Acceptance of Terms
By clicking "Start Now", registering, logging in, or using any part of the platform, you confirm that you are of legal age and have the authority to enter into these Terms on your own behalf or on behalf of the entity you represent.
If you use the platform on behalf of a company or organization, you represent that you are authorized to bind that entity to these Terms.
3. Service Description
CQZ POS provides a cloud platform for business management including, without limitation: point of sale, sales, purchases, inventory, accounting, reporting, customer and supplier management, and e-invoicing compliant with ZATCA requirements where available.
Available features and modules may vary by subscription plan, number of users, and branches. The Service Provider may update the platform, add features, or modify user interfaces with reasonable notice where appropriate.
- The service does not include accounting, tax, or legal advisory unless expressly agreed in writing.
- You are responsible for the accuracy of data you enter and for compliance with laws applicable to your business.
4. Registration & Account
You must provide accurate, complete, and up-to-date information when registering, including business name, contact details, and tax information where required.
- You are responsible for keeping your username, password, and access tokens confidential.
- You are responsible for all activity under your account and sub-user accounts.
- You must notify us immediately upon suspected unauthorized access or security breach.
- We may suspend or refuse accounts containing misleading or unlawful information.
5. Subscriptions & Billing
The service is provided under a paid or trial subscription plan as offered on the website at the time of signup. Paid subscriptions renew automatically at the end of each billing cycle unless cancelled per the applicable policy.
- Displayed prices may exclude VAT or government fees unless otherwise stated.
- The Service Provider may adjust future pricing with reasonable advance notice.
- Failure to pay on time may result in access suspension or feature restrictions.
- Cancellation and refund details are set out in the published Refund Policy.
6. Acceptable Use
You agree to use the platform only for lawful purposes and in compliance with these Terms and applicable laws in Saudi Arabia and any country where you use the service.
- You may not use the platform for illegal, fraudulent activity or infringement of third-party rights.
- You may not attempt to hack, reverse-engineer, copy code, or resell access without written permission.
- You may not upload malware or content that harms the platform or other users.
- You may not use the platform to send spam or violate others' privacy.
7. E-Invoicing & Tax Compliance
When enabling e-invoicing features or ZATCA integration, you are responsible for the accuracy of your business tax data and invoices issued through your account.
- You are responsible for ensuring complete customer tax details when issuing invoices.
- You are responsible for reviewing submitted and rejected invoices with your accountant or tax advisor.
- The Service Provider is not liable for penalties arising from incorrect user-entered data or delays in external system updates.
8. Intellectual Property & Business Data
You retain ownership of your Business Data entered into the platform. The Service Provider grants you a limited, non-exclusive, non-transferable license to use the platform for the duration of your active subscription.
CQZ POS retains all rights in software, design, trademarks, and documentation. Use of the platform does not grant you ownership rights therein.
You grant us a license to host, process, and back up your data as necessary to provide the service, support, and legal compliance.
9. Confidentiality
Each party agrees to keep confidential the other party's non-public information obtained through use of the service, and not to disclose it except with prior consent or as required by law.
10. Service Availability & Support
We strive to provide continuous and secure platform access, without guaranteeing uninterrupted availability due to maintenance or events beyond our reasonable control.
- Scheduled maintenance may occur with advance notice where possible.
- Technical support is available through official channels published on the website.
- We do not guarantee immediate response to all requests outside announced business hours.
11. Disclaimer & Limitation of Liability
The platform is provided "as is" and "as available" to the maximum extent permitted by law. We make no express or implied warranties regarding fitness for a particular purpose or error-free operation.
The Service Provider is not liable for indirect, consequential damages, lost profits, or data loss arising from use or inability to use the platform, except where required by law.
In all cases, our maximum liability — if any — is limited to fees paid by you for the subscription in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless the Service Provider from any claims, losses, damages, or costs (including reasonable legal fees) arising from your breach of these Terms, misuse of the platform, or violation of third-party rights.
13. Termination & Suspension
You may cancel your subscription at any time from account settings or by contacting support. Access continues until the end of the current paid period unless otherwise stated.
- We may suspend or terminate accounts immediately for material breach of these Terms or non-payment.
- Upon termination, you may request data export within the period stated in the Refund Policy.
- Provisions that by nature should survive termination remain in effect (e.g., intellectual property and limitation of liability).
14. Changes to Terms
We may update these Terms from time to time. Material changes will be notified via email or in-platform notice. Continued use after changes take effect constitutes acceptance.
15. Governing Law & Disputes
These Terms are governed by the laws of the Kingdom of Saudi Arabia. Parties shall first attempt to resolve disputes amicably within thirty (30) days of written notice.
If amicable resolution fails, disputes shall be referred to competent courts in the Kingdom of Saudi Arabia — Madinah, unless mandatory consumer protection laws require otherwise.
